(“Treasure Cloud”), you (the “User”, “You” or ‘you”) are agreeing to be bound by these Website Terms and Conditions (“Terms”), all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. You hereby represent and warrant that you have read and agree to these Terms and our Privacy Policy. You further warrant and represent that you are at least 18 years of age, or the minimum age required in your jurisdiction of residence to have the necessary legal capacity, right, power and authority to accept these Terms, our Privacy Policy, our Cookie Policy and our Referral Program Terms.

If you do not agree with any of these terms, you are prohibited from using or accessing this Website and are required to leave this Website immediately. The materials contained in this Website are protected by applicable intellectual property laws including copyright and trade mark law.

Treasure Cloud  grants you a limited, non-exclusive, non-transferable and revocable license to use the products and services provided by Treasure Cloud (collectively “Services”) subject to these Terms. You are licensed to use these Services on each device as reflected in your Treasure Cloud account. Please note that certain third party code may be provided with the Software and you are bound by the license terms that govern its use.

Treasure Cloud and/or third parties own all right, title and interest in and to the Services and any software or documentation used therein. This includes all rights, title and interest in any intellectual property rights. The only licenses granted are those set forth in these Terms. Treasure Cloud and its licensors retain all other rights in the Services, and no other licenses to you are implied by these terms.

In order to make the use of Services the best experience it can be, while also protecting all our users, you agree that you will not do any of the following when using the Services:

• harm, disrupt or interfere with the operation of the Services, computer system or network;
• provide false information about your identity or pretend to be another user in order to gain access to any account, computers or networks related to the Services, without authorisation;
• attempt to interfere with any authorised use of the Services;
• use the Services to store, backup or distribute any illegal files or data;
• sublicense, lease, rent, loan, transfer or distribute any portion of the Services;
• use the Services to store, backup or distribute material that contains viruses, Trojan horses, worms, corrupted files, spyware, malware or any other similar software that may damage the operation of the Services or another person’s computer or property;
• probe, scan, or test the vulnerability of any system or network, including that of the Services;
• breach or otherwise circumvent any security or authentication measures, including those of the Services;
• access, tamper with, or use areas of the Service or accounts that you are not authorised to use;
• interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services;
• access or search the Services by any means other than the publicly supported interfaces (for example, “scraping”);
• send unsolicited communications, spam, or any altered, deceptive or false source-identifying information (including “spoofing” or “phishing”);
• impersonate or misrepresent your affiliation with any person or entity;
• publish or share materials that are unlawfully pornographic or indecent, or that violate the law of any relevant jurisdiction;
• or alter, modify or attempt to circumvent any disabling or security mechanisms that may be included in the Services.

Treasure Cloud may immediately terminate your account if you or someone using your account has engaged in any of the prohibited activity listed above or have breached of any of these Terms.

In these Terms, “User Content” shall refer to all content, data (including Personal Data) and information that you store, upload, post or share using the Services. These Terms don’t give us any rights to your “User Content” except for the limited rights that enable us to offer the Services. All User Content shall be owned solely by you or the person who made it available to you to store or upload via the Services. In consideration of being provided with use of the Services made available pursuant to these Terms, you grant to Treasure Cloud and its affiliates a worldwide license to use, copy, perform or display your User Content in connection with providing you access to the Services only.

Your data belongs to you. You are solely responsible for maintaining, updating and protecting User Content that occurs through your account, including personal data as defined under the Personal Data Protection Act 2012; the General Data Protection Regulation (“Personal Data”) and/or any other applicable data protection law.

There must not be unreasonable use of the Services by you. Unreasonable use includes using the Services:

1. for any activity that breaches any law and/or regulations or in a manner other than those intended for the Services;
2. to transmit, publish or make available material that is offensive, abusive, indecent, pornographic or confidential (or promote others to engage in such acts);
3. in a way that infringes the rights of other persons, including to defame, harass, injure, menace or abuse any person or property or violate any person’s privacy, to infringe any person’s intellectual property rights or incite hatred against any person;
4. to send unsolicited data to third parties for any purpose;
5. in a way that will interfere with, interrupt, manipulate, bypass or degrade the Services or the integrity of the Services.

You agree to grant to Treasure Cloud and its subsidiaries and affiliates consent to use or reproduce your data including your Personal Data for the purposes of providing the Services and for any purposes which Treasure Cloud considers necessary for the proper operation and provision of the Services. Treasure Cloud will not store your Personal Data for purposes other than those listed in our Privacy Policy here.

Treasure Cloud shall also be entitled to disclose your data including your Personal Data if such disclosure is required pursuant to any applicable laws or any requirement of any competent governmental or statutory authority or pursuant to rules or regulations of any relevant regulatory, administrative or supervisory body or pursuant to any legal process issued by any court or tribunal whether in Singapore or elsewhere.

You acknowledge that Treasure Cloud does not provide back up or other similar services in respect of your data and you are responsible for implementing your own back up and data retrieval procedures. Treasure Cloud  shall not be liable for any loss or corruption of your data, or any costs associated with backup and restore of your data.

You can share data with others when using the Services. By doing so, you are enabling others to view, download, copy, distribute and publish your data including any Personal Data shared by you. You agree that consent to such disclosure and usage of you data including your Personal Data and Treasure Cloud has no responsibility for anything that other people with whom you share your data and/or Personal Data do with such data.

Treasure Cloud respects the intellectual property rights of others. We expect our users to respect those rights as well. You may not use the Services to upload, store or share any material that infringes any copyright, patent, trademark or other proprietary right of any person or entity.

Treasure Cloud asks you to respect its intellectual property as well. Please don’t use any trademark, copyright or any other proprietary rights notices. You agree not to decompile or reverse engineer the source code from the services. Treasure Cloud  may terminate your account and access to the Services for any violation.

These Terms shall be governed and construed in accordance with laws of Singapore. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the Courts of Singapore for determining any dispute, claim or difference concerning these Terms  or any matter arising therefrom.

Subscription Plans
Users have the option to subscribe to one of several paid plans. The subscription plans vary in terms of offering space; upload and download limits; as well as cloud platform connection options. All prices listed are in the United States Dollar.

Renewal
All paid renewal subscriptions (monthly or annually) are automatically renewed for the Services on the date such renewal subscriptions expire. This date will be reflected on the User’s dashboard under the billing tab found here. If you have a renewal subscription, this will be extended automatically until you terminate it and every further payment will be due at the beginning of the new payment cycle.

Lifetime Subscriptions
Users can pay for a lifetime subscription. A lifetime subscription is in effect for the duration of the lifetime of Treasure Cloud’s business as a going concern, or the lifetime of the User, whichever is shorter.

Payments for and Cancellation of Subscriptions
You can cancel your subscriptions at any time from your payment account under the billing tab of your account found here. You will still be entitled to use the Services for any “Unused Days”, where such Unused Days refers to calendar days between the date of your termination and the date that our Services will no longer be offered to you. Do note however, that no refund will be provided for any Unused Days.

All users who subscribe for Services subject to a fee (“Paid Services”) must enter valid credit or debit card account credentials. The Service is billed in advance on a monthly or yearly basis (depending on the selection you make at the point of subscription) and paid on an automatic basis. You hereby authorise Treasure Cloud to automatically charge your credit card or account for charges that apply to your account. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, including VAT, and you shall be responsible for payment of all such taxes, levies, duties or VAT.

If, for any reason, you are not satisfied with the Paid Services, you can cancel your subscription for Paid Services at any time.

Treasure Cloud has a fifteen (15) calendar days money back guarantee, beginning on the day you have submitted your payment for the Paid services. During this period, you are eligible to request for a refund. If you issue an explicit written request for a refund within the fifteen (15) days referenced above, we will process the refund due to you in full within 30 calendar days, counting from the day you have confirmed your request.

We will usually refund any money received from you using the same method originally used by you to pay for your purchase.

In case you have purchased Paid Services through a promotional campaign or provided discount, Treasure Cloud reserves the right to decline providing a refund.

In these Terms, “Downgrading” shall refer to the act of the User changing their subscription plan from: either a Premium plan to a Plus or Standard plan; or from a Plus plan to a Standard plan. In any event of Downgrading, the User acknowledges that they may not be able to perform certain operations as a result to changes in allocated storage. You hereby agree to indemnify and hold Treasure Cloud harmless against any loss suffered or incurred or likely to be suffered or incurred, directly or indirectly resulting your failure to conduct such a migration, removal or transfer of your data from the Services related to such Downgrading.

Your paid account will renew automatically for the same term, unless you disable the renewal or notify us in writing at least fifteen (15) days prior to your renewal date that you would like to modify or cancel your account.

Subject to these Terms, you can terminate at any time, for any reason, by cancelling your Account and ceasing to use the Services and as per the instructions on the Treasure Cloud website.

Payments for the Services are due upon account activation and subsequent renewal dates. There will be no refunds for any unused Services or any unexpired period of usage after termination of your account.

Upgrades, renewal amounts and any applicable taxes will be charged to the credit card or payment method as set up in your account.

Treasure Cloud may terminate any paid account if you fail to pay for the Services, or for any other breaches of these Terms.

Treasure Cloud is not obligated to continue providing access to any Service beyond the date when Treasure Cloud ceases providing such Service to users generally, or in the event of Treasure Cloud’s cessation of business.

Treasure Cloud will notify you regarding any event surrounding its cessation of business, and will accordingly request that you migrate, remove or transfer your data out of the Services offered by Treasure Cloud within fourteen (14) days calendar days. You hereby agree to indemnify and hold Treasure Cloud harmless against any loss suffered or incurred or likely to be suffered or incurred, directly or indirectly resulting your failure to conduct such a migration, removal or transfer of your data from the Services.

Treasure Cloud may permanently or temporarily stop providing, or may modify the Services, any feature included in the Services, or the availability of the Services on any particular device or account, at any time and without notice to you.

Treasure Cloud may immediately terminate any account should a third party make an intellectual property infringement claim relating to the Services. While not obligated to do so, Treasure Cloud will try to communicate any such actions to you by either sending you an e-mail or by posting relevant information to the Treasure Cloud website and this Website.

If the Services or these Terms are modified, your continued use of the Services will constitute your acceptance of the Service modifications and your Agreement to be bound by the modified Terms. The current Terms will always be posted on our website. To stay informed of any changes, please review the most current version of these Terms at treasure.cloud/legal. Your license to use the Services depends upon your agreement to be bound by these Terms and any modification to these Terms. If you do not agree to be bound by these Terms, you may not use the Services.

The materials on this Website are provided on an “as is” basis. Treasure Cloud  makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Treasure Cloud  does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet website or otherwise relating to such materials or on any sites linked to this site.

YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK, AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TREASURE CLOUD,  ITS SUPPLIERS, RESELLERS, PARTNERS AND THEIR RESPECTIVE AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN PARTICULAR, TREASURE CLOUD , ITS SUPPLIERS, RESELLERS, PARTNERS AND THEIR RESPECTIVE AFFILIATES MAKE NO WARRANTY THAT (A) THE SERVICES  WILL MEET YOUR REQUIREMENTS; (B) YOUR USE OF THE SERVICES WILL BE TIMELY, UNINTERRUPTED, SECURE OR ERROR-FREE; (C) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF THE SERVICES OR ON THE WEBSITE WILL BE ACCURATE OR RELIABLE; AND (D) ANY DEFECTS OR ERRORS IN THE SERVICES WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES  IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. YOU FURTHER ACKNOWLEDGE THAT THE SERVICES  ARE NOT INTENDED OR SUITABLE FOR USE IN APPLICATIONS THAT COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.

In no event shall Treasure Cloud or its suppliers, resellers, partners and affiliates be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the Services , even if Treasure Cloud or a Treasure Cloud  authorised representative has been notified orally or in writing of the possibility of such damage.

Any liability of Treasure Cloud, its affiliates, officers, directors, employees, agents, suppliers and licensors, to you or any other persons arising out of the use or inability to use the Services, whether based in warranty, contract, tort (including negligence), or otherwise, the maximum aggregate liability of Treasure Cloud, its affiliates, officers, directors, employees, agents, suppliers and licensors, for or in connection with any breach of these Terms shall be limited to the greater of:

1. the total amount of the subscription fees paid by you to Treasure Cloud for the Service in the twelve (12) months immediately preceding the breach; or
2. if no subscription fees have been paid, an amount of Singapore Dollars S$500.00.

The above limitation of liability is cumulative and not per incident. Nothing in these Terms shall limit or exclude any liability that cannot be limited or excluded under applicable law.

This above limitation/exclusion of liability will survive any termination of the Services and/or your account.

You agree to indemnify and hold Treasure Cloud harmless against any loss suffered or incurred or likely to be suffered or incurred, directly or indirectly resulting from any breach of these Terms by you or your authorised representatives.

The materials appearing on this Website and on any links on this Website could include technical, typographical, or photographic errors. Treasure Cloud does not warrant that any of the materials on this Website and on any links on this Website are accurate, complete, or current. Treasure Cloud  may make changes to the materials contained on this Website at any time without notice. Treasure Cloud does not, however, make any commitment to update the materials.

Treasure Cloud may update these Terms from time to time to ensure that these Terms are consistent with any changes in legal requirements. You are encouraged to periodically review this policy.
